Terms and Conditions of the Independent Consultant Agreement
(Please read carefully)

1. I am of legal age in the state in which I entered this Agreement with Money Mastery For Life, (hereinafter called 'Money Mastery For Life')
2. I understand that the Money Mastery For Life Independent Consultant (IC): (A) must be of legal age of consent in the state in which he/she resides, (B) has executed and signed an Independent Consultant Application, (C) has been accepted as an IC by Money Mastery For Life and, (D) has carefully read and understands the Policies and Procedures and the Compensation Program.
3. I understand that upon acceptance as a Consultant, applicant is authorized as a Consultant until December 31 of the current calendar year. If this agreement is executed on or after October 1, will expire on December 31 of the following year. Consultant status may be kept current through an annual renewal as long as applicant complies with all terms of this Agreement. I understand that the renewal fee is $25.00 and is renewable on December 31 of each year thereafter.
4. I understand that to become a Consultant there is no purchase necessary. I understand that the application deposit is refundable if for any reason I wish to terminate my agreement and that the request for refund must be in writing and submitted to the Corporate Office of Money Mastery For Life.
5. I understand and agree that I am an independent contractor not subject to the control of Money Mastery For Life in my Consultant activities and am solely responsible for determining my own business activities and time spent and not an agent, employee or legal representative of the Company. I will not represent in any manner that I am an agent, employee, or regulatory or taxing agency. If a California resident I will remit applicable sales taxes with each literature and sales aids order.
6. As a consultant I will: (a) Represent Money Mastery For Life products in a sincere and honest manner and will honor the Money Mastery For Life customer guarantee, (b) Be professional, courteous, and considerate, (c) Help those in my organization to be successful by providing training and motivation, (d) Represent the Money Mastery For Life Compensation Plan as prescribed by Money Mastery For Life official literature, (e) Become familiar with and utilize sales techniques, Money Mastery For Life Compensation Plan and Statement of Policies and other materials prescribed by Money Mastery For Life, (f) Study the product literature.
7. I understand that I am responsible for managing and supporting Consultants I sponsor into the program. I agree to maintain monthly communication and support those Consultants in my commissionable organization by way of any of the following, or combination thereof. Personal contact, telephone communication, written communication and attendance at meetings.
8. I understand that my distributorship can be inherited or bequeathed, but cannot be transferred or assigned during my lifetime without written consent of the Company which consent will not be unreasonably withheld.
9. I understand that in order to maintain a viable Marketing Program and to comply with changes in federal, state, or local laws or economic condition, Money Mastery For Life may provide Policies and Procedures and Rules and Regulations for Consultant from time to time, as well as modify it's Compensation Plan and customer services and charges. Such Policies and Procedures and Rules and Regulations and Compensation Plan modifications and customer services and charges and all changes thereto, shall upon notice to Consultant become a binding part of this Agreement.
10. I understand and agree that the Independent Money Mastery For Life Businesses cannot be sold, assigned or transferred without prior written approval from Money Mastery For Life.
11. I understand that Consultants may return sales aids and product in resalable condition at any time within 30 days of purchase from Money Mastery For Life, there will be a 15% restocking charge assessed. The refund for the Application Deposit is 100%. Shipping costs for returned items shall be borne by Consultant. Payment will be made within sixty days of actual receipt of returned items. I understand that any commissions will be deducted from any returned product and/or sales material. Request for refund may cancel this Agreement at the option of the Company. The Company will honor refund policies provided by any state or federal law applicable to Consultant (New Mexico-One Year, Georgia-no time limitation).
12. I understand that this agreement shall be deemed in effect upon its receipt and acceptance by Money Mastery For Life, at its Corporate Office location at 216 West St George Blvd, St George, Ut 84770.
13. I understand that this Agreement is governed under the laws of the State of Utah. The parties agree that any claim, dispute, or other difference between them shall be exclusively resolved by binding arbitration pursuant to the Commercial Arbitration Rules of the American Arbitration Association with arbitration to occur at St. George, Utah. The Arbitrator may award, in addition to declaratory relief, preliminary and permanent injunctive relief and compensatory damages, and shall award reasonable attorney's fees and costs to the prevailing party. The decision of the arbitrator will be final and the winning party is entitled to enforcement in any court of competent jurisdiction. This provision shall not be construed so as to prohibit Money Mastery For Life from obtaining preliminary and permanent injunctive relief in any court of competent jurisdiction. Louisiana residents arbitrate at New Orleans, Louisiana.
14. I warrant that neither I nor my spouse or other household members have been Money Mastery For Life Consultants in the past six months.
15. I agree and understand that as a Money Mastery For Life Consultant. I shall place primary emphasis upon and shall develop bona fide customers and Consultants as a condition of my receipt of compensation. Net compensation entitlements under $10.00 shall be accumulated until the sum of $10.00 is equaled or exceeded at which point a commission check will be paid.
16. I understand that Money Mastery For Life does not and will not discriminate in acceptance or rejection of Consultants because of race, creed, color, sex or national origin. Consultant positions are open to all persons who faithfully demonstrate good business ethics, judgment, responsibility and sincere desire to be a Money Mastery For Life Consultant.
17. I agree that I will not repackage or relabel Money Mastery For Life products and I will not sell Money Mastery For Life products under any other name or label.
18. I understand and agree that I will not create, duplicate, publish, or distribute any literature or materials representing Money Mastery For Life or its products without written approval. I further understand that trademarks and/or trade names of Money Mastery For Life may only be used as approved in writing by Money Mastery For Life.
19. I understand that I am entitled to cancel this Agreement at any time and for any reason upon notice to Money Mastery For Life in writing.
20. I understand and agree that this Agreement shall continue so long as I remain in active standing or until this Agreement is canceled in writing, Money Mastery For Life shall not cancel this Agreement during the term of this agreement, except upon my violation of this Agreement or the Money Mastery For Life Policies and Procedures or upon three months continuous inactivity, the purchase of Money Mastery For Life products or services.
21. I understand that this Agreement, including Policies and Procedures and Money Mastery For Life Compensation incorporated herein by reference, constitute the entire agreement between the parties herein, and no other additional promises, representations, guarantees, or Agreements of any kind shall be valid unless in writing.
22. I understand and agree that if any provision herein is held to be invalid, all other provisions shall be valid and enforceable.
23. I understand and agree that if I become inactive for three consecutive months, I lose my position in the Money Mastery For Life Compensation Program and forfeit my down line organizations as well as all forms of compensation. I understand that in such event my organization of customers and consultants rolls up to the next qualified Consultant. In addition, I understand that if I should re-enter the Money Mastery For Life Compensation plan, I would start again at the level of Consultant and would not regain my previous organization.
24. I understand that a Consultant in the same household must have the same sponsor. Change of sponsorship is not permitted.
25. All Consultant, Customer and Area Coordinator names, data and lists are exclusively owned by Money Mastery For Life and may not be utilized by Consultant for any purpose (other than furtherance of their Consultant business) at any time during or after termination of Consultant position, without the express prior written consent of Money Mastery For Life. Consultant shall not seek to sponsor, nor sponsor, Money Mastery For Life Consultants, Customers and Area Coordinators to any other marketing program except as to these personally sponsored enrolled by Consultant.
26. I understand that I may not have any economic interest whatsoever in any individual or entity sponsored within my Money Mastery For Life business organization.
27. I understand that I may not purchase product for redistribution outside of the United States and Canada without the express written consent of Money Mastery For Life.
28. I understand that falsifying information regarding customers, hostesses/hosts, or Consultants is grounds for immediate termination.
29. I understand and agree hereby that my signature herein is the signature of record for all credit card transactions. This signature will allow me, the Consultant, to place telephone orders and charge these orders to Visa, MasterCard and/or other accounts that Money Mastery For Life makes available. I understand that this is the Company's authorization to accept and honor a Consultant's credit card account as an informed Consultant than when ordering as an average customer. I agree therefore to waive the right of cancellation or refund on any order placed on my credit card account(s) accepted through Money Mastery For Life. I understand and agree that any order returns, refunds or exchanges shall be done through Money Mastery For Life and not through Visa or MasterCard or other credit card accounts used by me.
